📄 Coffer Smart Effective: 06 June 2026 Covers: Goldfish BSS & FitMe

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Coffer Smart ("we", "us", "our") governing your use of Goldfish BSS and FitMe (collectively, the "Services").

By activating an account, starting a free trial, or using any part of the Services, you confirm that you have read, understood, and agreed to these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind that organisation.

1 Acceptance of Terms

Access to and use of the Services is conditional on your acceptance of these Terms. These Terms apply to all users of the Services, including pharmacy administrators, staff members, and any other individuals granted access under your account.

If you do not agree to these Terms, you must not use the Services.

2 The Services

Coffer Smart provides the following cloud-based software services:

  • Goldfish BSS — a pharmacy business management system covering invoicing, inventory, prescriptions, purchasing, customer management, reporting, and related modules.
  • FitMe — a patient-facing portal enabling prescription uploads, refill requests, appointment notifications, and patient record access, connected to Goldfish BSS.

The Services are delivered entirely via the internet (cloud-based). No local installation is required. We reserve the right to update, modify, or enhance the Services at any time. We will notify you of changes that materially affect your workflow with reasonable advance notice where possible.

3 Accounts & Access

Account creation

Accounts are created by Coffer Smart following a trial or plan activation. You are responsible for providing accurate information during onboarding and keeping that information up to date.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@coffersmart.com if you suspect unauthorised access.

User accounts

You may create user accounts up to the limit of your subscribed plan. Each user account is for a single named individual and must not be shared. You are responsible for ensuring all users under your account comply with these Terms.

4 Subscriptions & Billing

Plans

The Services are offered on monthly or annual subscription plans as described on our Pricing page. Your plan determines the features, user limits, and branch limits available to you.

Payment

Subscription fees are due in advance at the start of each billing period. We will issue an invoice or payment request before each renewal. Failure to make payment within 14 days of the due date may result in temporary suspension of access until payment is received.

Upgrades

You may upgrade your plan at any time. The new plan pricing will apply from the next billing period. Your existing data and history carry over seamlessly on upgrade.

Downgrades & cancellation

You may cancel or downgrade your subscription at any time by contacting us. Cancellation takes effect at the end of the current billing period. We do not offer pro-rata refunds for partial billing periods on monthly plans. For annual plans, unused months may be considered for credit at our discretion.

⚠️ Subscription fees are non-refundable except where required by applicable law or at our discretion in exceptional circumstances.

5 Pricing & Price Lock

🔒 Price lock commitment: The monthly price on your plan at the time of activation is locked for a minimum of 24 months from your subscription start date, provided your subscription remains active and continuous.

After the 24-month lock period, we reserve the right to revise pricing. If we increase the price of your current plan, we will give you a minimum of 60 days' written notice before the new price takes effect. You will have the option to cancel before the new price applies if you do not wish to continue.

Price lock applies to the base subscription fee only. It does not apply to add-on services, additional branches beyond your plan limit, or new features that are separately priced at the time of introduction.

If you cancel and resubscribe, the price lock restarts at the price current at the time of resubscription.

6 Free Trial

We offer a 30-day free trial for new customers. No credit card is required to start a trial. The trial gives you access to the full features of the plan you select.

At the end of the trial period, you will need to activate a paid subscription to continue using the Services. If you do not activate a paid subscription, your trial account will be deactivated. Your data will be retained for 30 days after deactivation, after which it will be permanently deleted.

We reserve the right to terminate a trial at any time if we believe the trial is being used in a way that is abusive, dishonest, or inconsistent with the purpose of the trial.

7 Your Data

Ownership

All data you enter into the Services — including patient records, inventory, invoices, prescriptions, and customer information — belongs to you. We claim no ownership over your operational data.

Data export

You may request an export of your data at any time during your subscription. We will provide this within 14 business days in a standard format (CSV or JSON). On cancellation, you have 30 days to request your data before it is deleted.

Data handling

We handle all data in accordance with our Privacy Policy and applicable Sri Lankan law, including the Personal Data Protection Act 2022. By using the Services, you confirm that you have the necessary consent and legal basis to submit patient and customer data to the platform.

Security

We implement reasonable technical and organisational measures to protect your data, including encrypted transmission, role-based access controls, and regular backups. However, no system is completely secure and we cannot guarantee absolute security.

8 Acceptable Use

You agree to use the Services only for lawful purposes in connection with legitimate pharmacy or healthcare operations. You must not:

  • Use the Services to process, store, or transmit data in violation of any applicable law or regulation
  • Attempt to gain unauthorised access to any part of the Services or any other user's account
  • Use the Services to store or distribute malicious software or harmful content
  • Resell, sublicense, or provide access to the Services to any third party without our written consent
  • Use the Services in any way that disrupts or damages the platform or other customers' use of it
  • Reverse-engineer, decompile, or attempt to extract the source code of any part of the Services
  • Use automated tools to scrape, mine, or extract data from the Services beyond normal usage

We reserve the right to suspend or terminate accounts that violate these requirements without prior notice.

9 Intellectual Property

The Services — including all software, design, trademarks, logos, and content created by Coffer Smart — are and remain the exclusive property of Coffer Smart. These Terms do not transfer any ownership rights to you.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Services during your subscription period, solely for your internal pharmacy operations.

Your data remains yours. Coffer Smart's software, platform, and branding remain ours.

10 Uptime & Support

Availability

We aim to maintain high availability of the Services. Planned maintenance will be carried out during off-peak hours where possible and notified in advance. Unplanned outages will be communicated and resolved as quickly as practicable.

We do not guarantee a specific uptime percentage at this time. Enterprise customers may discuss dedicated infrastructure and SLA terms separately.

Support

Support is available to all plan holders via WhatsApp and email during Sri Lanka business hours (Monday–Friday, 9am–6pm). We aim to respond to support requests within one business day. Onboarding and initial training are included with all plans.

⚠️ We are a small team. While we are committed to responsive support, we do not currently offer 24/7 emergency support outside Enterprise arrangements.

11 Liability

The Services are provided "as is." To the maximum extent permitted by applicable law, Coffer Smart makes no warranties — express or implied — regarding the Services, including fitness for a particular purpose or uninterrupted availability.

Coffer Smart shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of or inability to use the Services, including but not limited to loss of business, loss of data, or loss of revenue.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Coffer Smart in the three months preceding the claim.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence, or any liability that cannot be excluded under Sri Lankan law.

12 Termination

By you

You may terminate your subscription at any time by contacting us. Your access continues until the end of the current billing period. You may request a data export within 30 days of termination.

By us

We may suspend or terminate your account immediately if you breach these Terms, fail to make payment after the 14-day grace period, or engage in activity that we reasonably believe is harmful, illegal, or damaging to other customers or the platform. In non-urgent cases we will give you reasonable notice and an opportunity to remedy the breach before termination.

Effect of termination

On termination, your access to the Services will cease. Your data will be retained for 30 days after termination, after which it will be permanently deleted from our systems. Provisions of these Terms that by their nature should survive termination (including data ownership, intellectual property, and liability) will continue to apply.

13 Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those changes.

If you do not agree with a material change to these Terms, you may terminate your subscription before the change takes effect and receive a pro-rata refund for any prepaid period affected by the change.

14 Governing Law

These Terms are governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

We will always attempt to resolve disputes amicably before resorting to formal legal proceedings. If you have a concern or complaint, please contact us first and we will make every reasonable effort to resolve it.
